Business Licensing Lawyer in Israel: Indictment and Closure Order
Representation in indictments, closure orders and business licensing proceedings
Did you receive a summons from a municipal inspector, a warning letter, a closure order or an indictment for operating a business without a license? This is a criminal proceeding, even when it looks like a minor administrative matter. It is heard in the Local Affairs Court, and the prosecutor is the legal department of the local authority.
I am Adv. and Notary Emanuel Trach, with 15 years of experience in criminal defense. I represent business owners, companies and managers in criminal proceedings for business licensing offenses, from the investigation to the end of the case, and I also assist with the licensing process itself so that the problem does not return.

When to contact a lawyer
- You were summoned to an investigation or a hearing at the business licensing department or municipal enforcement.
- You received a warning letter or a demand to obtain a license.
- An indictment was filed against the business, its owner or its managers.
- A closure order was issued, or the authority threatens to request one.
- Your license application is stuck or was rejected, or the license expired and was not renewed.
- The business has operated for years and it turns out that it does not require a license, or that the requirement was cancelled.
The offense and who can be charged
Operating a business that requires a license without a license is prohibited under section 4 of the Business Licensing Law, 5728-1968, and the penalty is set in section 14. Which businesses need a license is determined by the Business Licensing Order (Businesses Requiring a License), 5773-2013, which lists business types by item. Sometimes the item also depends on the size of the business, the scope of activity or the output.
An indictment can be filed not only against the business owner but also against the company and against the person who actually manages it. In one of the cases I handled, the indictment named a company and two managers. The first step is therefore to check who actually runs the business and what each person’s role was.
Building a defense
Does the business require a license at all?
First, the Order is checked: whether the business type is included, under which item, and whether there is an area or output threshold. The Order is amended from time to time. Amendment No. 2, published in June 2022, deleted four items, including items in the vehicle and transport field, and set area thresholds for food and cosmetics storage (businesses up to 200 square meters no longer need a license under those items, although each business must be checked against other items).
A change in the Order during the proceedings
Section 4 of the Penal Law provides that if the prohibition on an act is repealed, criminal liability is cancelled and pending proceedings are stopped. A person charged with operating a business whose item was deleted from the Order can ask to cancel the indictment. This is what happened in the first example below.
Regularizing the license during the proceedings
The prosecution and the court take into account licensing steps that have already begun: an application that was filed, a file that was opened, a real attempt to regularize the situation. This affects the arrangement, the sentence and whether there will be a conviction. Depending on the business, approvals are required from various bodies, such as the fire department, the police, the Ministry of Health and planning and building authorities. A building deviation at the premises can delay a license, so it is worth dealing with it in parallel. See Planning and building offenses lawyer.
A plea arrangement without a conviction
Not every case ends in a conviction. In suitable circumstances an arrangement can be reached in which no conviction is entered, under section 192A of the Criminal Procedure Law. Where a company is concerned, the court also considers the impact of a conviction on its activity. The arrangement may include compensation to the authority, an undertaking not to commit a similar offense, and a period to obtain a license.
Closure order
The authority may ask the court for a closure order that stops the activity of the business. A request can be made to postpone the date on which it takes effect or to freeze it, so that the business can continue to operate while the license is being regularized. In the second example below, the closure order was set to take effect at a later date, which gave time to obtain a license.
Examples from cases (identifying details removed)
Example 1: indictment cancelled after the item was deleted from the Order
An indictment was filed against the owner of a small business for operating without a license. He had been trying to obtain a license for several years, and the application was still pending. While the proceedings were underway, an amendment to the Business Licensing Order was published that deleted the item covering his type of business. The licensing authority notified him in writing that the business no longer required a license and that the licensing file would be frozen.
I filed a request to stop the proceedings and cancel the indictment under section 4 of the Penal Law, attaching the authority’s notice and the Ministry of Interior’s explanatory document on the amendment. The court decided to stop the proceedings and cancel the indictment, with the consent of the parties.
Example 2: a company’s conviction cancelled and the charges against its managers dropped
An indictment was filed against a small company and two managers for operating a business that requires a license without a license. The company works with security bodies, so a criminal conviction could have harmed its security clearance and its participation in tenders. The company had also started a licensing process on its own, which was delayed by an existing building deviation.
I presented the court with the circumstances, the licensing steps and the expected harm to the company’s activity. At the end of the proceedings an arrangement was reached: the company admitted the facts, and the court cancelled its conviction under section 192A. It paid compensation to the prosecution, undertook not to commit a similar offense for two years, and the closure order was set to take effect at a later date so that it could regularize a license. The indictment against the managers was cancelled.
Each case is examined on its own circumstances. A result in one case does not indicate a result in another.

Frequently asked questions
Is operating a business without a license a criminal offense?
Yes. The offense is set out in sections 4 and 14 of the Business Licensing Law, and the local authority files an indictment in the Local Affairs Court.
Who can be charged?
The business owner, the company and the person who actually manages it. That is why each person’s role is examined.
I received a summons to an investigation or a hearing. What should I do?
It is advisable to consult before giving a version. What is said in an investigation is recorded and can be used as evidence, and it is worth first checking whether the business needs a license at all.
Can an indictment be cancelled if the business does not require a license?
It can be argued. The Order, the item and the relevant threshold are examined, including where the item was deleted during the proceedings. In the first example the indictment was cancelled after the item was deleted from the Order.
Can a conviction be avoided?
In suitable circumstances, yes, under section 192A of the Criminal Procedure Law, but there is no guarantee. The outcome depends on the circumstances, the prosecution’s position and the court’s decision.
What is a closure order, and can it be postponed?
An order to stop the business’s activity. A request can be made to postpone its effect or freeze it, mainly while a license is being regularized.
Does filing a license application protect me?
It does not remove responsibility, but the prosecution and the court take licensing steps that have already begun into account, and this can affect the arrangement and the sentence.
Does a building deviation prevent a license?
It can delay or prevent a license. It is therefore worth dealing with it in parallel with the licensing process.
How much does representation cost?
There is no uniform price. Fees are set according to the stage and scope of work, in a written agreement.
